Obtaining Digital Signatures of Directors & Shareholders This stage involves filing a Digital Signature Certificate (DSC) application with the DSC Certifying Authority to obtain the digital signatures of Directors and Shareholders.
Reservation of Name This step involves applying for the reservation of the proposed company’s name with the Ministry of Corporate Affairs via the application in Part “A” of e-form SPICe+ available on the MCA portal.
Incorporation Application This stage includes filing the Incorporation Application with the Ministry of Corporate Affairs via the application in Part “B” of e-form SPICe+ available on the MCA portal within 20 days of receiving the Name Approval Letter from the concerned ROC.
E-form AGILE Pro is filed together with Part “B” of e-form SPICe+ for the application of EPFO, ESIC, Professional Tax Registration (mandatory for the State of Maharashtra), GSTIN Allotment, and Opening of a Bank Account for the proposed company.
Mandatory Requirements:
- Director details for the application of DIN.
- Memorandum of Association (MoA) and Article of Association (AoA) governing the management of the company.
- Declarations required from the Subscribers and Directors.
- Consent of Directors required in Form DIR-2.
- Some additional details required in the case of a Foreign Subsidiary to be formed in India.
Issuance of Certificate of Incorporation Following the filing of the Incorporation form (SPICe+), the Ministry reviews the documents and information provided. Once satisfied and verified, it issues a “CERTIFICATE OF INCORPORATION,” conclusive evidence of the entity’s formation.
Verification of Registered Office This step involves filing e-form INC 22 to verify the registered office of the company with the Ministry within 15 days of incorporation. Certain mandatory documents are filed as proof of the company’s office’s existence.
